1. Agreement to These Terms
These Terms of Service ("Terms") are an agreement between you and Floof Digital LLC, doing business as Floof Digital Consulting ("Floof Digital," "we," "us," or "our"), for the use of Wiggle BOS ("Wiggle" or the "Service"), including the app at wiggle.floofdigital.com and the pages, forms, proposals and websites Wiggle hosts.
If you use Wiggle for a business, you accept these Terms on behalf of that business, and "you" means the business and everyone it invites. You confirm you are at least 18 and have the authority to bind the business. If you do not agree, do not use Wiggle.
Our Privacy Policy explains how we handle information and is part of these Terms.
2. Accounts and Workspaces
- Workspaces. Each business has a workspace. The person who creates it, or whom we name when we set it up, is the owner. The owner controls billing, invites people, sets their roles and can export everything.
- Your people. You are responsible for the people you invite and for everything done under your workspace's accounts. Keep sign-in details secure, and tell us promptly at derek@floofdigital.com if you believe an account has been compromised.
- Accurate details. Give us accurate account and billing information and keep it current.
3. Plans, Billing and Cancellation
- Plans. Each plan includes a set number of users, websites and a monthly AI allowance, shown when you subscribe. Extra users can be added for an additional charge.
- Payment. Subscriptions are billed in advance, monthly or yearly, through Stripe. By subscribing you authorize recurring charges to your payment method until you cancel. Prices exclude taxes, which are added where required.
- Changes to your plan. Upgrades, downgrades and seat changes take effect straight away and are prorated on your next invoice. You cannot reduce seats below the number of people in the workspace.
- Free trials. If we offer a trial, it applies once per workspace. We will tell you before a trial ends, and your plan starts only if you subscribe.
- Price changes. We will give you at least 30 days' notice by email before a price change affects your subscription. The change applies from your next billing period.
- Failed payments. If a payment fails, you have a 14-day grace period to update your payment method. After that the workspace becomes read-only until the balance is paid. Your data and your export stay available throughout.
- Cancellation. You can cancel any time from Settings, then Plan, then Manage billing. Cancellation takes effect at the end of the current billing period, and you keep full access until then.
- Refunds. Monthly fees are not refunded for partial months. If you cancel within 14 days of your first yearly payment, we will refund it in full; after that, yearly fees are not refunded for the unused part of the year. Where the law gives you a right to a refund, these Terms do not limit it.
4. Your Data
- You own it. Everything you and your team put into Wiggle, everything you connect, and the insights Wiggle produces from it ("Your Data") belong to you. We claim no ownership of Your Data.
- Our permission to use it. You give us permission to host, copy, process and display Your Data only as needed to provide, secure, support and improve the Service for you, and as described in the Privacy Policy. We do not sell Your Data, and we do not let our AI model providers train their models on it.
- Export, any time. The owner can export all of Your Data at any time in open, documented formats, on every plan, including after a subscription ends. We will never hold Your Data back to keep you as a customer.
- After you leave. When a subscription ends, the workspace stays read-only with the export open. We keep it for 12 months, remind you before it is deleted, and then delete it, as the Privacy Policy explains. You can ask us to delete it sooner.
- Your responsibilities. You are responsible for Your Data and for having the right to put it into Wiggle, including the personal information of your customers and contacts. Where the law requires it, you are responsible for giving notice to, and getting consent from, the people whose information you add, and for honouring their requests.
5. AI Features and Romey
- Drafts for people to approve. Romey and Wiggle's other AI features produce drafts and suggestions. Anything that could reach a customer or a public listing is presented for a person to approve first. If you turn on automatic sharing of your own published blog posts, Wiggle posts those recaps without a separate approval, and you are responsible for them as if you had approved each one; you can turn it off at any time. You are responsible for reviewing what you approve, send or publish.
- Accuracy. AI can be wrong. Wiggle's AI is built not to invent prices, results or business facts, but we do not guarantee that AI output is accurate, complete or suitable for your purpose, and it is not legal, tax, financial or other professional advice.
- Allowances. AI use draws on your plan's monthly allowance. When it runs out, AI features pause until the next month or until you change plans. Other features keep working.
- Your outputs. As between you and us, AI output created for your workspace is part of Your Data.
6. Services You Connect
Wiggle can connect to other services, such as Google, Microsoft 365, Facebook, Instagram, LinkedIn, Stripe, QuickBooks, Xero, Slack, Mailchimp, Klaviyo and Calendly. When you connect one, you authorize Wiggle to exchange information with it for the features you use. Those services are provided by other companies under their own terms and privacy policies, which you are responsible for following. We are not responsible for them, for changes they make, or for their availability. A connection may stop working if the other service changes or withdraws access.
7. Payments You Collect, Email You Send and Documents You Sign
- Payments. If you take payments from your customers through Wiggle, they are processed by Stripe under Stripe's terms, and you are the seller. You are responsible for your prices, refunds, taxes, receipts and disputes with your customers.
- Email and marketing. You are responsible for the email you send through Wiggle and the contacts you add to marketing lists, including following anti-spam and marketing consent laws and honouring unsubscribe requests.
- Proposals and e-signatures. Wiggle provides tools to send proposals and collect electronic acceptance and signatures, and keeps a record of each. You are responsible for the content of your documents and for deciding whether an electronic signature is appropriate and enforceable for your purpose. Wiggle does not give legal advice.
- Websites and domains. You are responsible for the content of websites you publish with Wiggle and for the domain names you connect. Connecting a domain does not transfer its ownership to us.
If you connect Zoom, you are responsible for telling meeting participants that the meeting is recorded and transcribed and that a summary is kept, and for any consent the law requires where you and they are located.
8. Acceptable Use
You agree not to use Wiggle to:
- Break the law, or infringe anyone's intellectual property, privacy or other rights
- Send spam or unsolicited bulk messages, or add people to marketing lists without the consent the law requires
- Publish content that is fraudulent, deceptive, defamatory, hateful, harassing or sexually exploitative, or that discriminates unlawfully, including in housing, employment or credit
- Upload malware, or try to break into, overload, probe or disrupt Wiggle or any connected service
- Get around plan limits, AI allowances or security controls, or access another workspace's data
- Copy, resell or reverse engineer the Service, or use it to build a competing product
- Scrape Wiggle, or use automated access other than the features and connections we provide
We may remove content or limit a feature that breaks these rules, and we will tell you why unless the law prevents it.
9. Our Service
- Our property. Wiggle, its software, design and brand belong to Floof Digital. These Terms give you a right to use Wiggle while your subscription is active; they do not transfer any ownership.
- Feedback. If you send us ideas or suggestions, we may use them without any obligation to you.
- Changes to the Service. We improve Wiggle continually and may add, change or remove features. We will not make a change that removes your ability to export Your Data, and we will give reasonable notice before removing a major feature you pay for.
- Features marked as rolling out. Features we label as new, early or rolling out are provided as they are, may change, and are not covered by any service level.
- Availability. We work to keep Wiggle available and secure, but it may occasionally be unavailable for maintenance or reasons outside our control.
10. Suspension and Termination
- By you. You may stop using Wiggle and cancel at any time (section 3).
- By us. We may suspend or end your access if you seriously or repeatedly break these Terms, if your use puts Wiggle, other customers or the public at risk, or if the law requires it. Where it is reasonable, we will warn you first and give you a chance to fix the problem.
- Your data survives. Unless the law prevents it, you will still be able to export Your Data after a suspension or termination, as described in section 4.
- Sections that by their nature should last beyond the end of this agreement, including sections 4, 11, 12, 13 and 14, continue to apply.
11. Disclaimers
Except as these Terms expressly say, Wiggle is provided "as is" and "as available." To the fullest extent the law allows, we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement, and we do not promise that Wiggle will be uninterrupted or error-free or that it will produce any particular business result.
12. Limitation of Liability
To the fullest extent the law allows, neither you nor we will be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from these Terms or the Service. Our total liability for all claims relating to these Terms or the Service is limited to the greater of the fees you paid us for Wiggle in the 12 months before the claim arose, or US $100. These limits do not apply where the law does not allow them to.
13. Indemnity
You agree to defend and indemnify Floof Digital against claims by third parties arising from Your Data, the content you publish or send through Wiggle, your use of connected services, or your breach of these Terms or the law, and to cover the reasonable costs of those claims.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Indiana, United States, without regard to its conflict of laws rules. If a dispute arises, please contact us first so we can try to resolve it informally. If we cannot, the dispute will be decided by the state or federal courts located in Johnson County, Indiana, and both parties consent to their jurisdiction. Either party may bring a qualifying claim in small claims court.
15. Changes to These Terms
We may update these Terms from time to time. We will post the new version on this page and update the "Last Updated" date. For material changes, we will tell workspace owners by email or in Wiggle at least 30 days before the change takes effect. If you keep using Wiggle after that, the new Terms apply; if you do not agree, you can cancel and export Your Data.
16. General
- These Terms, with the Privacy Policy and anything you accept when you subscribe, are the whole agreement between you and us about Wiggle.
- If any part of these Terms cannot be enforced, the rest remains in effect.
- If we do not enforce a part of these Terms straight away, we have not given up the right to enforce it later.
- You may not transfer these Terms without our written consent. We may transfer them as part of a merger, acquisition or sale of assets, and will tell you if we do.
- Neither party is responsible for delays caused by events beyond its reasonable control.
- We may send notices to the owner's email address or in Wiggle. You can send notices to us at the address below.
